Lawson Lundell LLP 4 Letter from the Editors March 30, 2020 Dear friends and colleagues: We are pleased to provide you with the 2020 edition of the Canadian Energy Public M&A Deal Survey. The Survey reviews the key legal terms and other elements of energy transactions involving Canadian reporting issuers announced or completed between 2016 and 2019. As we write to you, Canada's energy markets have been severely disrupted yet again. The globe faces the challenge of a serious and unpredictable infectious disease and two of its major oil powers are engaged in a struggle to reduce the price of oil and aggregate production. We hope that all this is resolved soon. But we confess that it is not clear to us - if these conditions persist - whether 2020 will see many more Canadian energy transactions than 2019 (which was a very slow year), outside of those which are imposed on targets. The energy bear continues to rampage. Despite this grim reality, our belief is that these events underscore the need for the Canadian energy industry to continue to improve. We all need to make even greater efforts to make efficient use of our resources and talents. We appreciate that this is a very difficult thing to do, following years of struggle. But it must be done. We share the deep economic uncertainty and concern about the future that all our peers and friends are facing. We are all in the same boat – tossed by a turbulent sea. But we are determined to try to make a contribution to the process of building a better, stronger industry. We feel that we can do that, in part, by offering better information - information that allows M&A professionals to make better decisions more quickly and which ultimately reduces the cost and complexity of important transactions.
